Qualifications for Energy Investments
The offeree represents that, at a minimum, he is financially qualified to participate in this offering. In particular, the offeree
represents that he is investing less than 20% of his net worth in the Program and he:
has (A) a minimum net worth of $225,000 (exclusive of home, home furnishings and automobiles), without regard to an investment in the Interests, and (B) a minimum annual gross income of $100,000 for the current year and for the two previous years; or has a minimum net worth in excess of $1,000,000, inclusive of home, home furnishings, and automobiles; or has a minimum net worth of $500,000 (exclusive of home, home furnishings and automobiles); or has a minimum annual gross income of $200,000 in the current year and the two previous years.
